Terms of Service

Last updated: 5 October 2026

1. The short version

These Terms are the contract between you and SAS Sovrnti for using Sovrnti, Sherpa, the Sovrnti MCP server and the Sovrnti API.

Sovrnti is a professional service. Our data and Sherpa's answers help you decide. They do not decide for you.

You pay with credits or a plan. You can stop at any time. We tell you before we change anything that matters.

2. Who we are

SAS Sovrnti, 16 place des Quinconces, 33000 Bordeaux, France. RCS Bordeaux 990 493 934. Share capital: 10 000 €. VAT number: FR13990493934. Director of publication: Guelnoji Njetein.

Contact: hello@sovrnti.io. Support: support@sovrnti.io.

Our sites are hosted by Scaleway SAS, 8 rue de la Ville l'Évêque, 75008 Paris, France.

3. Who can use Sovrnti

You must be at least 18. You use Sovrnti for your work or business, not as a consumer.

If you accept these Terms for an organization, you confirm you may bind it. "You" then means you and that organization.

4. What these Terms cover

Our Privacy Policy explains how we handle personal data. Our sub-processor list names who helps us.

5. Your account

Keep your sign-in details safe. Tell us at security@sovrnti.io if you think someone else used your account.

You are responsible for what happens under your account, including calls made by AI assistants and API keys you connect to it.

An organization's owner decides who joins it and what they can do. Organization data belongs to the organization, not to the member who created it.

6. Credits and plans

Free credits

A new account gets 300 free credits. Some tools are free and use no credits. Free credits have no cash value. We may change the free allowance for new accounts at any time.

Plans

Sovrnti Starter and Sovrnti Pro are yearly subscriptions for an organization. Prices are on our pricing page and shown before you pay. Each plan includes a monthly credit allowance and access to Sherpa.

The monthly allowance resets each month. Unused allowance does not carry over.

Top-up credits

You can buy extra credits in packs. Top-up credits do not expire while your account exists.

How credits are used

Each paid tool call or Sherpa answer uses credits. The price in credits is shown in the product and in our documentation. We take allowance credits first, then top-up credits.

Refunds

Payments are non-refundable, except where these Terms or the law say otherwise. If a charge fails because of our error, we return the credits.

If we refund a top-up payment, we remove the matching credits. Your balance can then go below zero.

Renewal and cancellation

Plans renew each year automatically. You can cancel at any time in your organization's billing settings. Your plan then runs to the end of the paid year. We do not refund the unused part of a year.

Price changes

We tell you at least 30 days before a price change applies to your plan. The new price applies from your next renewal.

Taxes

Prices exclude VAT unless shown otherwise. Stripe collects payment and calculates tax for us.

7. Acceptable use

Do not:

  • break the law, or help anyone else break it, with Sovrnti;
  • try to get around credits, rate limits or access controls;
  • copy our data in bulk, scrape it, or use it to build a competing data product;
  • probe, attack or overload our systems (report security issues to security@sovrnti.io instead);
  • share your account or API keys outside your organization;
  • put special categories of personal data (health, religion, and so on) into Sherpa;
  • present Sherpa's answers as Sovrnti's official rating, or as advice from Sovrnti.

We may limit, suspend or end access that breaks these rules, as section 14 explains.

8. Your content

"Your content" means what you put into Sovrnti: questions to Sherpa, decisions you record, and builder submissions.

You keep all rights in your content. You give us the right to use it only to run Sovrnti for you, to secure it, and as our Privacy Policy describes.

We do not use your content to train AI models. We do not sell it.

If you are a vendor and submit a correction through Sovrnti Builders, you let us use it in our data. We decide whether and how to use it.

9. The MCP server and the API

These rules apply on top of the rest of these Terms.

Access. You connect with OAuth or an API key. Each key belongs to one organization. You may revoke a connection or a key at any time.

Limits. We set rate limits to protect the service. They are in our documentation. Do not try to get around them.

AI assistants. When an AI assistant calls our tools for you, the assistant's provider is not our subcontractor. Its own terms and privacy policy apply to your conversation with it. We are not responsible for what the assistant does with our results, or for how it words them.

Directories. Sovrnti may appear in directories run by Anthropic, OpenAI, Mistral AI and others. Those directories are run by their owners, not by us.

Changes. We version the API. We give at least 90 days' notice before we remove a version or a tool, except for security reasons.

No guarantee of uptime. We work hard to keep the service available. We do not promise a service level unless we sign one with you.

10. Our data and what you can do with it

Sovrnti's data, scores, Snapshots, methodology and software belong to SAS Sovrnti.

Public Snapshots. The Snapshot pages on sovrnti.io/snapshot are licensed under Creative Commons Attribution 4.0 (CC BY 4.0). You may share and adapt them, even commercially. Credit Sovrnti, link the source, and say if you changed anything. Our citation policy shows how.

Everything else. Results from the app, Sherpa, the MCP server and the API are not under that licence. While your account is active, you may use them inside your organization. You may quote short extracts, for example in a board paper or a vendor review, with "Source: Sovrnti" and the date.

You may not resell, republish in bulk, or redistribute those results, or feed them into a competing dataset. Ask hello@sovrnti.io for anything else.

11. Sherpa's answers and our ratings

Sherpa is an AI. Its answers can be wrong, out of date or incomplete. Check important facts before you rely on them.

Our scores and ratings are our analysis at a point in time, under a published method. They are opinions based on evidence, not certifications or guarantees about any vendor.

Nothing from Sovrnti is legal, financial, security or procurement advice. You stay responsible for your decisions.

We rate vendors independently. Vendors cannot pay to change a rating.

12. Third-party services

Sherpa in Slack, Teams, Google Chat or email runs through those providers. Their terms apply to your use of their services. You turn these channels on yourself, as our Privacy Policy explains.

We are not responsible for third-party services we do not control.

13. Changes to Sovrnti and to these Terms

We improve Sovrnti often. We may add, change or remove features. If we remove something you pay for, we tell you first and offer a fair remedy.

We may update these Terms. For a change that matters, we email account holders at least 30 days before it applies. If you do not accept it, you can cancel before it applies.

14. Suspension and termination

You can stop using Sovrnti and delete your account at any time.

We may suspend or end your access if you break these Terms, do not pay, or put the service or others at risk. Where we can, we warn you first and give you time to fix it. We act at once for security threats or illegal use.

Sometimes we close Sovrnti or end your access when you did nothing wrong. Then we refund the unused part of your plan and your unused top-up credits.

When your account ends, we delete your data as our Privacy Policy describes.

15. Warranties

We provide Sovrnti with reasonable care and skill. Apart from that, and as far as the law allows, we provide it "as is". We do not promise it will be error-free or suit a particular purpose.

16. Liability

Neither of us limits liability for fraud, gross negligence, intentional misconduct, or anything else the law does not allow us to limit.

Apart from that:

  • neither of us is liable for indirect losses, such as lost profits, lost data or lost business;
  • our total liability to you in any 12 months is capped at the amount you paid us in those 12 months, or EUR 100 if that is higher.

17. Governing law and disputes

French law governs these Terms.

If we disagree, write to hello@sovrnti.io first. We will try to settle it within 30 days.

If we cannot, the courts of Bordeaux, France, have exclusive jurisdiction.

18. General

If one part of these Terms is invalid, the rest still applies. Not enforcing a right now does not waive it.

You may not transfer these Terms without our consent. We may transfer them to a company that takes over Sovrnti, and we will tell you.

These Terms are written in English. If we publish a translation, the English text prevails.
